Barry joined Ellis Funk as a shareholder in 2005 when his former firm, Leitz, Fink & Kaye, LLC, combined with Ellis, Funk, Goldberg, Labovitz & Dokson, P.C. Barry has more than 30 years of experience in Business and Corporate Law, and Estate Planning and Probate Law.
Barry’s Business and Corporate Law practice consists primarily of serving as outside general counsel to companies of varying sizes and handling the diverse legal needs that arise throughout the lifetime of a business. The scope of his representation encompasses (1) business formation; (2) business succession planning; (3) business mergers, acquisitions and sales; (4) review, negotiation and preparation of legal agreements between business owners or between the company and outside third parties; and (5) internal governance matters.
Barry’s Estate Planning and Probate practice includes providing guidance to individuals in connection with the management of the family assets, preservation of wealth, protection from creditors, and minimization of taxes. This often involves the preparation of key legal documents such as Wills, Revocable Living Trusts, Irrevocable Life Insurance Trusts, Financial Powers of Attorney, and Georgia Advance Directives for Health Care. Barry also advises clients who desire to engage in more advanced estate planning, which might lend itself to the creation of a charitable foundation and/or trust, family limited partnership, or a trust for an individual with special needs.
Barry served as an American Bar Association Vice-Chairman, Post Mortem Income Tax Planning Committee, Section of Real Property, Probate and Trust Law, from 2001 to 2006.
“I have used Barry Leitz of Ellis Funk for legal representation for over 25 years. He has always provided sound advice and representation for my business' as well as my estate planning. When my needs were outside his areas of specialty he was always able to refer me to other qualified members of the firm to represent my interests.
Barry's ability to make complicated legal matters easy for me to understand I have found particularly helpful over the years.
I highly recommend Barry Leitz and Ellis Funk.”
“Barry Leitz is a professional with both legal and accounting experience, making every communication associated with your business more comprehensive in dimension and scope. His communication skills, verbal and written, are exceptional in accurately detailing complex concepts in form, content and detail.
Barry’s mind grasps business models very quickly, which expedites the discussion process considerably. Broad base of knowledge and experience, in addition to a full complement of additional networked industry associates available to handle most any situation. Barry assisted me in the sale of my business. During this process, his straight forward, objective, non-emotional presence was of immeasurable value to me.”
“For over 10 years Barry Leitz and the firm of Ellis Funk, P.C. have represented my wife and I in various shareholder, unit holder, and personal activities and we have always found the advice to be provided timely, and on target - and always with a knowledge of us as individuals and as a couple.”

“Our company recently completed our business continuity and ownership succession plan. We are are small corporation with 25 employees and have been in business for 28 years. We operate in a heavily regulated industry with our sales cycle typically being 2 years followed by another year of approvals before we receive any compensation. Thus, our current cash flow, and thus the valuation of our business, is reflective of our performance from the 2 or 3 prior years and not indicative of current performance. The business planning process literally took us 3 years to complete. We first met with a business planner. We subsequently tried working with two different legal firms. After 2 years, we were back at the beginning and more confused than when we had started. It occurred to us that the people we were dealing with, while professional and competent, were telling us what “most” people do - fitting our round peg into their square hole. It just never felt right. We then were introduced to Ellis Funk. Barry Leitz took the time to understand our business and our objectives. For the first time someone was trying to develop a solution based on our needs and desires as opposed to trying to make us fit into an already established methodology. The end result is that we reached a successful resolution in which 6 very strong willed and independent people are all very happy and comfortable with the final plan and documentation. Needless to say we highly recommended Barry and Ellis Funk.”
