Ellis Funk represents businesses of all sizes from one person entities to publicly held corporations with close to a billion dollar market capitalization. We represent companies and investors in equity and debt financing transactions. The Firm has an active merger and acquisition practice representing buyers and sellers. This area of the Firm’s practice also includes advising businesses and business owners with respect to their organizational structure and forming various types of business entities, including corporations, professional corporations, limited liability companies, general partnerships, limited partnerships and limited liability limited partnerships, and preparing the essential documents required by these businesses such as stockholder agreements, operating agreements, partnership agreements, employment agreements and covenants not to compete. The Firm’s practice includes general corporate representation, negotiation, preparation and review of commercial contracts and real estate and personal property leases of all types or nature. For our publicly held clients, the Firm also counsels with respect to all 1934 Act reports, including annual reports on Form 10-K, quarterly reports on Form 10-Q and current reports on Form 8-K, and the preparation of proxy statements.
