About Ellis Funk

Ellis Funk, P.C. was established in 1991, practicing until
2006 as Ellis, Funk, Goldberg, Labovitz & Dokson, P.C.
In 2006, the EFGLD firm merged with another similarly sized
and like minded firm, Leitz, Fink & Kaye, LLC, to form the current Firm. The Firm has practiced law in its current Buckhead location since it was founded.

We serve the needs of business entities and individuals in
a broad array of legal matters, including in the areas of Corporate and Business Law, Commercial and General Civil Litigation and Dispute Resolution, Estate Planning, Securities, Real Estate Law and Family and Divorce Law.

The Firm’s principals in the Business, Corporate and Estate Planning areas are Robert B. Goldberg, Albert L. Labovitz and M. Barry Leitz. This area of the Firm’s practice includes the representation of businesses of all sizes from one person entities to publicly held corporations with close to a billion dollar market capitalization. We represent companies and investors in equity and debt financing transactions and have an active merger and acquisition practice representing buyers and sellers. This area of the Firm’s practice also includes advising businesses and business owners with respect to their organizational structure and forming various types of business entities, including corporations, professional corporations, limited liability companies, general partnerships, limited partnerships and limited liability limited partnerships, and preparing the essential documents required by these businesses such as stockholder agreements, operating agreements, partnership agreements, employment agreements and covenants not to compete. Our practice includes general corporate representation, negotiation of commercial agreements, health law transactions and negotiation, preparation and review of real estate and personal property leases of all types or nature. For our publicly held clients, the Firm also counsels with respect to all 1934 Act records, including annual reports on Form 10K, quarterly reports on Form 10-Q and current reports on Form 8-K, and the preparation of proxy statements. The Firm has particular expertise in the specialized tax field of estate and trust planning and administration.

The Firm’s principals in Litigation and Dispute Resolution matters as well as Family and Divorce Law are Robert N. Dokson and Amy L. Kaye. We handle virtually every aspect of civil litigation, including business, commercial, real estate, insurance, domestic, construction, contractual disputes and bankruptcy disputes. The Firm also has extensive experience in Alternative Dispute Resolution (ADR) matters, especially arbitration and mediation, with our lawyers serving both as an advocate for clients in ADR forums, and as a neutral in such proceedings.

Jane Ross Leitz and Kelly Malone are Of Counsel to the Firm, with experience in Corporate, Probate, Litigation and Family Law matters.

The Firm’s two initial founding members – Donald J. Ellis and David I. Funk – left active practice with the Firm in 2005, Don to relocate to Virginia and David due to disability. David passed away in January 2011. In recognition of their important contributions to the Firm over the years, the current principals felt it appropriate for the Firm to practice after the merger under the name “Ellis Funk.”

Both the Firm and every one of the Firm’s principals are rated “AV” by Martindale-Hubbell, the highest rating available for law firms and lawyers, in terms of legal competence, integrity and professionalism.
